Party A: To be completed by the customer

Party B: Xi’an-based SIMO Motor repair manufacturer

In the spirit of mutual benefit, and to ensure that designated motors are repaired to guaranteed quality and quantity, Party A and Party B have reached the following agreement through consultation:

1. In accordance with Party B’s production and maintenance requirements, Party A is entrusted to repair designated motors. Upon receipt of Party B’s written notice, Party A shall collect the motor(s) for repair from Party B’s factory within   one working day(s)  .

2. Starting from the date Party A collects the motor(s) from Party B, Party A shall complete inspection and repair within two working days and deliver the motor(s) to the location designated by Party B.

3. During inspection and repair, if Party A identifies any components requiring replacement or machining, Party A shall first notify Party B and obtain Party B’s written approval before proceeding; otherwise, any additional costs incurred shall not be borne by Party B.

4. If Party A’s repair work involves special trades, personnel performing such work must hold valid trade-specific qualification certificates and strictly comply with all relevant safety regulations during repair operations. Party B shall bear no liability for any workplace injuries or other safety incidents arising therefrom.

5. Party A shall conduct a comprehensive inspection and power-on operational test on each repaired motor. Only after confirming no abnormalities may Party A deliver the motor to Party B.

6. To ensure timely identification of repaired motors, Party A shall apply a specific marking and stamp the delivery date in steel characters at a designated location on each motor. The stamped date shall reflect the delivery date in YYMMDD format (e.g., October 18, 2011 shall be stamped as “111018”).

7. Upon receiving the motor, Party B’s responsible personnel shall perform an on-site power-on test immediately (if workload is heavy, the Maintenance Supervisor must arrange for testing within one hour at the latest). After confirming fault-free operation, both parties shall sign the “Repair Delivery & Test Form” to complete delivery.

8. The warranty period for repaired motors is one year. Should quality issues recur within this period, Party A shall assume full responsibility. If Party A suspects the failure was caused by human factors on Party B’s side (e.g., phase loss, overload, water ingress, coal dust ingress, or intrusion of metal objects), Party A must confirm this on-site with Party B’s responsible personnel and jointly sign the “External Repair Request Form”; under such circumstances, Party A may be exempted from liability.

9. Party A shall assume responsibility for pickup and delivery of motors. When collecting motors, Party A must present Party B’s issued access permit.

10. Repair fees shall be charged per the fee schedule agreed upon by both parties; see the Fee Schedule.

11. Repair invoices shall be submitted monthly. After Party B’s responsible department completes internal procedures, Party A shall issue a VAT Special Invoice to Party B, and Party B’s Finance Department shall make payment according to the agreed monthly settlement terms.

12. This Agreement is executed in duplicate, with one copy retained by each party. It shall enter a provisional three-month trial period. Upon expiration, the Agreement shall be automatically renewed unless either party raises objections.
